1. Agreement and who we are

These Terms of Service (the "Terms") are a binding agreement between you and Brainhood Ltd. governing your access to and use of Fynca - our market research and analytics platform available at fynca.io and app.fynca.io, including the canvas workspace, nodes, data feeds, AI features, collaboration features, and any related applications and services (together, the "Service").

By creating an account, clicking to accept, or using the Service, you agree to these Terms and to the documents incorporated by reference: the Privacy Policy, Cookie Policy, Financial and Market Data Disclaimer, AI Features Disclosure, Cancellation and Refund Policy, and Acceptable Use and Content Policy. If you do not agree, do not use the Service.

Fynca US, Inc., together with our and its respective affiliates, subsidiaries, directors, officers, employees, agents, licensors and data providers (the "Protected Parties"), are intended third-party beneficiaries of these Terms. Each Protected Party is entitled to rely on, and to directly invoke and enforce, every provision of these Terms that purports to benefit, grant rights to, disclaim warranties on behalf of, limit or exclude the liability of, or provide for the indemnification of us or any Protected Party (including, without limitation, Sections 2, 7, 16, 17 and 18), in each case as if it were a party to these Terms. Except as expressly stated in these Terms, no other person has any right to enforce any of these Terms.

If you use the Service on behalf of a company or other entity, you represent that you are authorized to bind that entity, and "you" includes it.

2. The Service is informational only - no investment advice

Fynca is an information, research, education and analytics tool. We are not a broker-dealer, exchange, investment adviser, portfolio manager, or financial planner, and we are not licensed under the Israeli Regulation of Investment Advice, Investment Marketing and Portfolio Management Law, 5755-1995, the US Investment Advisers Act of 1940, or any similar law of any jurisdiction. Nothing in the Service - including charts, screeners, fundamentals, news, social sentiment, templates, ratings, scores, AI outputs, audio briefings, or any other content - constitutes investment, financial, legal, tax or accounting advice, a recommendation, an offer or solicitation to buy or sell any security or other asset, or an endorsement of any investment strategy. The Service does not execute trades, hold client funds or assets, or connect to brokerage accounts.

All content is generic and impersonal and is not tailored to your personal circumstances, even where features let you organize information you select. You are solely responsible for your investment decisions, and you should consult licensed professionals before acting. The Financial and Market Data Disclaimer applies to all use of the Service and prevails over any contrary impression created by any feature.

Ratings, scores and signals. Any rating, score, ranking, “bull/bear” indicator, price target, support or resistance level, or similar signal shown in the Service (including any produced by our AI features) is generated automatically by rule- or model-based methods from public data about the relevant instrument. It is impersonal and the same for all users, is not based on your personal circumstances, portfolio, objectives or risk tolerance, and is not investment advice, a recommendation, or an offer or solicitation to buy, sell or hold any asset. Such outputs are educational only, may be inaccurate or incomplete, rely on assumptions and on hypothetical or historical analysis that does not reflect actual trading and does not guarantee any result, and must be independently verified. You are solely responsible for your decisions and should consult a licensed professional.

3. Eligibility

You must be at least 18 years old to use the Service. By using it you represent that you are 18 or older and capable of forming a binding contract. We do not knowingly permit use by anyone under 18. You may not use the Service if doing so is prohibited by applicable law or by Section 19 (sanctions).

4. Accounts and security

You must register with accurate information (directly or via a supported sign-in provider) and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at support@fynca.io of any unauthorized use. Accounts are personal; seats may not be shared, and you may not transfer your account without our consent. We may suspend access to protect the Service or other users.

5. Plans, billing, renewals and taxes

5.1 Plans. The Service is offered on a free tier and paid subscription plans. Features, limits and prices are as displayed at the time of purchase or upgrade. We may change plan features and limits as described in Section 14, and prices prospectively as described in Section 21.

5.2 Billing entity and processor. Payments are charged by Fynca US, Inc., acting as the Company's billing and collection entity, and are processed by a third-party payment processor. Your statement may show Fynca US, Inc. or a related descriptor. Regardless of the billing entity, your contract for the Service is with Brainhood Ltd., and these Terms (including Israeli governing law) apply. Card details are handled by our payment processor; we do not store full card numbers.

5.3 Auto-renewal. Paid plans renew automatically at the end of each billing period (monthly or annual, as selected) and the then-current price is charged to your payment method, until you cancel. The renewal period, price and cancellation method are disclosed at checkout. You can cancel at any time with effect from the end of the current period, via the in-app Cancel Subscription function or by emailing support@fynca.io - see the Cancellation and Refund Policy, which also describes statutory cancellation and withdrawal rights (including under the Israeli Consumer Protection Law, 5741-1981 and, for EU/UK consumers, the 14-day withdrawal right).

5.4 Trials and promotions. Free trials or promotional prices convert to paid subscriptions at the disclosed price unless cancelled before conversion. We may set eligibility conditions and may withdraw promotions prospectively.

5.5 Taxes and currency. Prices are stated exclusive of VAT, sales tax and similar taxes unless stated otherwise; applicable taxes are added at checkout. Charges are in the currency shown at checkout. Your bank may apply conversion fees.

5.6 Failed payments and downgrades. If a renewal charge fails, we may retry and notify you; if it remains unpaid we may downgrade or suspend the paid features. On downgrade or cancellation, content exceeding free-tier limits may become read-only or inaccessible; export your data first.

6. Cancellations and refunds

Cancellation mechanics, statutory cooling-off and withdrawal rights, and our refund position (refunds at the legal minimum only; no voluntary refunds) are set out in the Cancellation and Refund Policy, which forms part of these Terms. Nothing in these Terms limits any non-waivable statutory right you have as a consumer.

7. Market data and third-party content

7.1 Sources. The Service displays data and content from third-party sources, including market data vendors, exchanges, fundamental and news providers, social platforms, and public filings (e.g., SEC EDGAR). Third-party data remains the property of its providers and their licensors and is licensed, not sold, to you for personal display and analysis within the Service.

7.2 No redistribution. You may not copy, scrape, extract, download in bulk, store outside the Service, redistribute, resell, sublicense, or make available to any third party any market data or third-party content received through the Service, except for small extracts in canvases shared in the ordinary, non-commercial use of the Service's sharing features. Systematic retrieval is prohibited. You may not use any market data or third-party content received through the Service to create derivative works, including any index, indicative value, net asset value, investment product, financial contract, settlement price or investment strategy, except as expressly permitted by us and the relevant data vendor.

7.3 Delays and accuracy. Data may be delayed, consolidated, adjusted or unavailable, and may contain errors. Delayed data is identified where required; absent an express real-time label you should assume data is delayed. Prices may be supplied by third-party vendors and may be derived or estimated values rather than official exchange quotations or last-trade prices; unless a display is expressly labelled as real-time exchange data, you should assume it is delayed or an estimate. All data and content are provided "as is", without any warranty of accuracy, completeness, timeliness, sequence or fitness for purpose, and neither we nor any data provider or exchange shall be liable for any inaccuracy, delay, omission, or for any action you take in reliance on the data. Data providers and exchanges are intended third-party beneficiaries of this Section 7.

7.4 Attribution and provider terms. Certain features include provider attributions and notices (for example, third-party charting components). You may not remove, obscure or alter attributions, watermarks or proprietary notices. Providers may require us to modify, restrict or terminate data availability at any time, and we may do so without liability.

7.5 Social and community data. Social sentiment, posts and trends shown in the Service reflect third-party opinions and unverified statements. They may be wrong, manipulated or fraudulent, and are not vetted by us.

8. AI features

The Service includes AI-powered features (including Chatsight, the Agent (Build and Ask modes), and Narrator audio briefings). You are interacting with automated AI systems, not humans. Outputs are machine-generated, probabilistic, and may be inaccurate, incomplete, outdated or biased ("hallucinations" occur); audio briefings are AI-generated synthetic speech. AI outputs are not investment advice or recommendations and must be independently verified before any use. The AI Features Disclosure (incorporated by reference) contains the full description, limitations and labelling practices, and your prompts are processed as described in the Privacy Policy. We may use third-party model providers to operate these features. AI features may be modified, rate-limited or withdrawn at any time. To the extent permitted by law, we are not liable for reliance on AI outputs.

9. Your content and canvases

9.1 Ownership. You retain all rights in the content you create or upload to the Service - canvases, notes, annotations, prompts and files ("User Content").

9.2 License to us. You grant Brainhood Ltd. a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display and create derivative-format copies of your User Content solely as needed to operate, secure, support and improve the Service, comply with law, and enforce our policies. For content you share, the license includes display to the people you share with or, for public links, to anyone with the link. This license ends when you delete the content or your account, except for backup cycles, content others retain because you shared it with them, and copies we must keep by law.

9.3 Sharing and collaboration. If you share a canvas or collaborate, the recipients can view (and, per permissions, edit or re-share) that content. Public links are accessible to anyone holding the link. Live market-data values may be limited, delayed or omitted in publicly shared or public-link canvases, and sharing features may not be used to redistribute market data outside the Service. Share market data within canvases only as permitted by Section 7.2. You are responsible for what you share; shared content must comply with the Acceptable Use and Content Policy.

9.4 Your responsibility; our removal rights. You represent that you have the rights to your User Content and that it does not violate law or third-party rights. We do not pre-screen User Content and have no general monitoring obligation, but we may remove, disable or restrict content that we reasonably believe violates law or our policies, and may suspend or terminate repeat infringers.

9.5 Feedback. If you send feedback or suggestions, we may use them without restriction or compensation.

10. Reporting illegal or infringing content

If you believe content available through the Service is illegal or infringes your rights, report it to support@fynca.io with: the location/link of the content, the reason it is unlawful or infringing, your name and contact details, and a good-faith statement of accuracy. We will review notices diligently and act proportionately (removal, restriction, or refusal with reasons), and where required we will inform the notifier and the content provider. The full procedure, including copyright complaints and counter-notices (and the US DMCA process operated via Fynca US, Inc.), is in the Acceptable Use and Content Policy. Our single point of contact for authorities and users for these purposes is support@fynca.io (English or Hebrew).

11. Acceptable use

You must comply with the Acceptable Use and Content Policy. In short, you may not: misuse or overload the Service or bypass technical limits; access it by automated means or scrape it; resell or redistribute data; reverse engineer the Service except as a non-waivable law allows; upload unlawful, infringing, deceptive or harmful content; use the Service to manipulate markets, spread false information about securities, or share material non-public information; misrepresent AI outputs as human work in deceptive contexts; infringe anyone's rights; or use the Service to build a competing dataset or product, or use market data received through the Service to create indices, indicative values, or investment products.

12. Our intellectual property

The Service - including software, design, interface, node system, templates we provide, trademarks and brand features (including "Fynca"), and content we create - is owned by Brainhood Ltd. and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal purposes in accordance with these Terms and your plan. No rights are granted except as expressly stated. You may not use our marks without written consent.

13. Third-party services

The Service interoperates with third-party services (e.g., sign-in providers, payment processing, data vendors, social platforms) and may contain links to third-party sites. Those services have their own terms and privacy policies; we are not responsible for them.

14. Beta features and changes to the Service

The Service evolves; features (including those labelled beta, preview or experimental) may be added, changed, suspended or removed at any time. Beta features are provided as-is, may be unstable, and may be discontinued without notice. Your statutory rights as a consumer, and any remedy described in the Cancellation and Refund Policy, are unaffected.

15. Term, suspension and termination

These Terms apply from your first use until terminated. You may stop using the Service and delete your account at any time. We may suspend or terminate your access (with notice where practicable and proportionate reasons) if you materially breach these Terms or the incorporated policies, create risk or legal exposure for us, or if we discontinue the Service. Upon termination your license ends; the following provisions survive termination: Sections 2 (informational only - no investment advice), 7.2 (no redistribution), 7.3 (delays and accuracy), 7.4 (provider terms), 9.2 (license to us, on a residual basis), 9.5 (feedback), 10 (reporting illegal or infringing content), 11 (acceptable use), 12 (our intellectual property), and 16–23 (disclaimers, limitation of liability, indemnification, sanctions, changes, price changes, governing law, and general), together with any other provision that by its nature is intended to survive. Where required by applicable law, we will provide a reasonable opportunity to export User Content.

16. Disclaimers of warranties

The Service is provided "as is" and "as available". To the fullest extent permitted by applicable law, we disclaim all warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, accuracy, quiet enjoyment and non-infringement, and any warranty that the Service will be uninterrupted, timely, secure or error-free, that data or outputs (including AI outputs) will be accurate or reliable, or that defects will be corrected. No advice or information obtained from us or through the Service creates any warranty. Some jurisdictions do not allow certain disclaimers; in that case they apply to the maximum extent permitted.

17. Limitation of liability

To the fullest extent permitted by applicable law: (a) neither Brainhood Ltd., Fynca US, Inc., nor our directors, employees, agents, licensors or data providers shall be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost or corrupted data, lost opportunities, trading or investment losses, business interruption or reputational harm, even if advised of the possibility; and (b) our total aggregate liability for all claims relating to the Service shall not exceed the greater of (i) the amounts you paid for the Service in the 12 months preceding the event giving rise to the claim, and (ii) US$100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including (where applicable) liability for death or personal injury caused by negligence, for fraud, or under non-waivable consumer protection rules; consumers retain all rights granted by mandatory law.

18. Indemnification

You will indemnify and hold harmless Brainhood Ltd. and Fynca US, Inc. from third-party claims, damages and reasonable expenses (including legal fees) arising from your User Content, your unlawful use of the Service, or your breach of these Terms, provided we notify you promptly and let you reasonably participate in the defense. If you are a consumer, this indemnity applies only to the maximum extent permitted by applicable law, and nothing in this Section limits any non-waivable statutory right you have as a consumer.

19. Sanctions and export control

You represent that you are not located in, or ordinarily resident in, a country or territory subject to comprehensive sanctions, and are not a person listed on applicable Israeli, US, EU, UK or UN sanctions or denied-party lists. You may not use the Service in violation of applicable export control or sanctions laws.

20. Changes to these Terms

We may amend these Terms and the incorporated policies. For material changes we will give at least 30 days' prior notice by email or in-app message; non-material changes take effect on posting with an updated date. If you do not agree to a material change, cancel before it takes effect (with the proportional refund of prepaid, unused amounts where required by law). Continued use after the effective date constitutes acceptance.

21. Price changes

Price changes apply prospectively only - from your next renewal at the earliest - and we will notify you at least 30 days before a price increase takes effect, with a reminder of your right to cancel before renewal.

22. Governing law and jurisdiction

These Terms, the incorporated policies, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual claims) are governed by the laws of the State of Israel, without regard to conflict-of-law rules. Subject only to the consumer carve-out below, the competent courts of Tel Aviv-Yafo, Israel shall have exclusive jurisdiction over all such disputes, and each party submits to that jurisdiction.

Consumer carve-out. If the law of your country of habitual residence grants you, as a consumer, non-waivable protections or the right to bring or defend proceedings in your local courts (for example, in the EU under the Rome I and Brussels I recast regulations, or in the UK), nothing in this Section deprives you of those protections or rights, and the choice of Israeli law does not deprive you of mandatory local consumer protections.

23. General

Entire agreement. These Terms and the incorporated documents are the entire agreement between you and us regarding the Service. Severability. If a provision is held invalid, it will be enforced to the maximum permissible extent and the remainder remains in effect. No waiver. Failure to enforce is not a waiver. Assignment. You may not assign these Terms; we may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, with notice to you. Force majeure. We are not liable for failures caused by events beyond our reasonable control. Language. These Terms are executed in English; translations are for convenience. No agency. Nothing creates a partnership, agency or employment relationship. Notices. We may notify you by email to your registered address or in-app; legal notices to us go to support@fynca.io and to Brainhood Ltd., 97 Rokach Blvd., Tel-Aviv.

24. Trading Challenges and tournaments

24.1 Challenges and Challenge Rules. From time to time we may run free trading competitions on the Service (each a "Challenge"). Each Challenge is governed by these Terms together with the official rules we publish for it in the Service (the "Challenge Rules"), which set out that Challenge's period, starting virtual funds, eligible instruments, execution and scoring mechanics, conduct rules, prizes and winner verification process. Accepting the Challenge Rules through the in-product acceptance flow is a condition of entry; we record the version you accepted and when. In the event of a conflict relating specifically to a Challenge, the Challenge Rules prevail over these Terms. No purchase or payment of any kind is necessary to enter or win, and holding a paid subscription does not affect entry, execution or scoring.

24.2 Simulated trading only - no real money. All trading in a Challenge is simulated. No real securities are bought, sold or held, no brokerage account is created, and no order is routed to any market. Virtual funds and simulated positions are game assets only: they have no monetary value and cannot be deposited, withdrawn, redeemed, purchased, transferred or exchanged, in whole or in part, for real money or anything of value. The prizes stated in the Challenge Rules are the only things of value awarded in a Challenge.

24.3 A competition of skill, not gambling. Rankings and winners are determined solely by objective, recorded simulated trading performance under conditions that are identical for every participant. No stage of a Challenge involves any draw, lot or other random or chance-based mechanism. A Challenge is not a lottery, raffle, wager or gambling activity of any kind; participants stake nothing and do not guess or predict any external outcome. Participation is void where prohibited or restricted by law.

24.4 Eligibility. Challenges are open to natural persons who are at least 18 years old and have reached the age of majority where they live, hold one Fynca account in good standing, and are not excluded under Section 19 (sanctions) or the Challenge Rules. Our and our affiliates' employees, officers, directors and contractors (and members of their immediate families or households), anyone involved in developing or operating a Challenge, and residents of any jurisdiction where participation or prize delivery would be unlawful or where our payout provider cannot deliver prizes, are not eligible.

24.5 Conduct and enforcement. The Challenge Rules set out prohibited conduct, including multiple accounts, collusion, exploiting bugs or erroneous data, automated trading and abuse of the simulation; Section 11 (acceptable use) also applies. Where we reasonably determine from recorded data that the Challenge Rules have been violated, we may reverse or reprice affected trades, restate results, suspend or disqualify you with written notice stating the ground, exclude you from future Challenges, and reclaim any prize already delivered. Such decisions are final absent manifest error, without limiting your right to have them reviewed by the competent courts under Section 22.

24.6 Prizes. Prizes, if any, are as stated in the Challenge Rules; they are personal, non-transferable and limited to one prize per person. Subscription prizes have no cash value and cannot be exchanged for cash. Prize delivery is conditional on completing the identity, eligibility and sanctions verification described in the Challenge Rules and, for cash prizes, on delivery through our third-party payout provider to the verified winner personally in a jurisdiction the provider supports. Winners are solely responsible for all taxes, levies and charges applicable to their prize, and we may withhold from or report a prize where required by law. If we later discover that a winner was ineligible or violated the Challenge Rules in a way that affected their ranking, we may demand return of the prize or its value.

24.7 Changes and cancellation. We may amend the Challenge Rules, or suspend, extend, shorten or cancel a Challenge, where reasonably required by a serious technical failure, fraud or a compromise of the integrity or fair operation of the Challenge, force majeure, or a legal or regulatory requirement, with notice through the Service and/or by email. The criteria for determining winners will not be materially changed after a Challenge starts.

24.8 Publicity and privacy. Leaderboards display participants' Fynca usernames, rankings and results, which may also be announced on the Service and in our community channels and will be identified as simulated. Any use of a winner's real name, photograph or likeness in publicity requires the winner's separate, express consent, which is not a condition of entry or of receiving a prize. Personal data collected for a Challenge is processed under the Privacy Policy, including sharing with our payout provider and other service providers for winner verification, prize delivery and legal compliance.

24.9 No advice; simulated performance; liability. Section 2 applies in full: nothing in a Challenge - including leaderboards or any participant's simulated trades - is investment advice, a recommendation or a solicitation, and Challenges are provided for educational and entertainment purposes only. SIMULATED OR HYPOTHETICAL PERFORMANCE RESULTS HAVE INHERENT LIMITATIONS AND DO NOT REPRESENT REAL TRADING. BECAUSE NO REAL TRADES ARE EXECUTED, SIMULATED RESULTS MAY UNDER- OR OVER-COMPENSATE FOR THE IMPACT OF MARKET FACTORS SUCH AS LIQUIDITY, SLIPPAGE, FEES AND BORROWING COSTS. NO REPRESENTATION IS MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO ANY SIMULATED RESULT, AND SKILL IN A SIMULATION DOES NOT IMPLY OR PREDICT SUCCESS IN REAL-MONEY TRADING. The Service and market data are provided for Challenges on the "as is" basis described in Sections 7 and 16; downtime, latency and data errors may affect participants unequally and give rise to no claim, make-up trades or compensation. Sections 16, 17 and 18 apply to Challenges, and our data providers and payout provider are Protected Parties for their purposes.
