Fynca Financial and Market Data Disclaimer

In this Disclaimer, "Fynca", "we", "us" and "our" mean Brainhood Ltd. and Fynca US, Inc., together with their respective affiliates, directors, officers, employees, agents, licensors and data providers (the "Protected Parties"). Each Protected Party (including our data providers and the exchanges) is an intended third-party beneficiary of, and may directly rely on and enforce, the disclaimers, limitations and exclusions set out in this Disclaimer. This Disclaimer forms part of, and is incorporated by reference into, the Terms of Service; capitalized terms not defined here have the meaning given to them in the Terms of Service. In the event of any conflict or inconsistency between this Disclaimer and the Terms of Service, the Terms of Service prevail.

1. Information and education only

Fynca provides market data, analytics, visualization, research and educational tools. Everything available on or through the Service - charts, screeners, fundamentals, ratios, technical indicators, news, SEC and other filings, earnings transcripts, social sentiment, templates, notes, community-shared canvases, ratings, scores, signals, price targets, AI chat outputs, AI-generated audio briefings, and any other content or feature output (together, "Content") - is provided for informational and educational purposes only.

No Content constitutes investment, financial, legal, tax or accounting advice; a recommendation, solicitation or offer to buy, sell or hold any security, derivative, currency, commodity, crypto-asset or other instrument; or an endorsement of any issuer, strategy or product. Content is impersonal and is not based on, and does not take into account, your objectives, financial situation or needs - including where you choose which symbols, screeners, indicators or templates to apply. Any rating, score, ranking, price target or buy/sell-style signal shown in the Service is automated, impersonal, the same for all users, and is not a recommendation or advice.

2. No licensed status; no client relationship

Brainhood Ltd. and Fynca US, Inc. are not registered or licensed as an investment adviser, investment marketer, portfolio manager, broker-dealer, exchange, trading venue, or financial planner with the Israel Securities Authority, the US Securities and Exchange Commission, FINRA, or any other regulator in any jurisdiction, and do not hold themselves out as such. Use of the Service does not create any advisory, fiduciary, brokerage or client relationship. We never hold, manage or transmit your funds or assets, do not execute or route orders, and do not connect to brokerage accounts.

3. Your decisions, your risk

Trading and investing involve substantial risk, including the possible loss of the entire amount invested, and are not suitable for everyone. Leveraged products, derivatives, foreign-exchange and crypto-assets carry heightened risk and volatility. You are the sole and exclusive decision-maker with respect to your trading and investment decisions: any decision you make based on Content is made solely by you, at your own discretion and risk, and you are solely responsible for it. Before any transaction, do your own research and consult a licensed investment, legal and tax professional in your jurisdiction. Never invest money you cannot afford to lose. To the fullest extent permitted by law, we accept no responsibility or liability for any decision you make or action you take in reliance on the Content.

4. Past and hypothetical performance

Past performance is not indicative of future results. Charts, indicators, screen results, scenario tools and any model or historical analysis are inherently retrospective or hypothetical: they do not represent actual trading, may not reflect fees, commissions, taxes, slippage or liquidity constraints, and often benefit from hindsight. Hypothetical results have inherent limitations and frequently differ sharply from real outcomes. No representation is made that any account will achieve results similar to any shown. To the fullest extent permitted by law, we are not liable for any reliance on past, hypothetical or modelled performance.

5. Market data - accuracy, delays, and provider terms

Market and financial data are obtained from third-party providers, exchanges and public sources believed reliable, but neither we nor any provider warrants the accuracy, completeness, timeliness, sequence or availability of any data. Data may be delayed, consolidated from multiple venues, adjusted (e.g., for splits and dividends), estimated, or interrupted. Unless a display is expressly labelled real-time, assume it is delayed. Quotes are indicative only and are not a basis for execution. We and our providers may correct, restrict or discontinue any data at any time without notice.

Fair-value and derived prices. Some prices shown in the Service - for equities and for currency and other instruments - may be fair-value, modelled or otherwise derived or estimated figures supplied by our market-data vendor: a real-time value generated from market inputs by a proprietary algorithm, rather than an official quotation, last-trade price or consolidated-tape price from a securities exchange. Such prices may differ from the prices at which transactions actually occur. Unless a price is expressly labelled as real-time exchange data, assume it is delayed or an estimate. All market data is provided “as is” and “as available”; neither we nor our vendors or any exchange endorse it or are responsible for its content, accuracy, completeness, timeliness, sequence, availability or delivery, or for any decision made in reliance on it.

All data is provided "as is" and "as available". To the fullest extent permitted by law, we and our data providers, the exchanges and their respective licensors disclaim all liability for data errors, omissions, delays or interruptions and for any decisions made in reliance on data. Providers and exchanges are intended third-party beneficiaries of these disclaimers. You may not redistribute data received through the Service (Terms of Service §7).

Charting technology may be provided by TradingView; other features rely on additional vendors identified in the Service. Their proprietary notices apply.

6. AI-generated Content

AI outputs (including Chatsight responses, Agent results and Narrator audio) are machine-generated, may be inaccurate, incomplete, outdated or biased, and may misstate data even when the underlying feed is correct. AI Content is labelled in the product and is subject to the AI Features Disclosure. Do not rely on AI Content as the sole basis for any decision; verify against primary sources. To the fullest extent permitted by law, we are not liable for any reliance on AI Content.

7. Third-party and community content

News, social posts, sentiment scores, transcripts and filings are produced by third parties; canvases and notes shared by other users are their authors' views. We do not verify, endorse or adopt any of it. Such content may be inaccurate, outdated, manipulated, promotional or fraudulent (including pump-and-dump schemes). Be especially skeptical of unverified claims about small-cap and crypto assets.

8. No guarantees; forward-looking statements

Any forward-looking information (estimates, forecasts, targets, scenarios, analyst opinions) is inherently uncertain and frequently wrong. We make no promise of profit, performance, accuracy or fitness of the Service for any trading objective.

9. Jurisdiction

The Service is operated from Israel and is not directed at any person in a jurisdiction where its availability would be contrary to law; it is your responsibility to comply with the laws applicable to you. The governing law and the courts having jurisdiction over any dispute relating to this Disclaimer or the Service are as set out in the Terms of Service, and that this Disclaimer is governed by Israeli law accordingly, without depriving consumers of the mandatory protections of their local law.
